Terms and Conditions
These general terms and conditions apply to all our products and services.
1. General
Webidentity Sàrl offers its Clients a complete range of IT and Internet products and services.
The services are defined in specific offers, which also serve as a contract between the Client and Webidentity Sàrl.
These documents specify the nature, scope, duration and remuneration of the services provided.
By accepting a quotation or contract from Webidentity Sàrl, the Client acknowledges that these General Terms and Conditions form an integral part of the contractual relationship.
2. Services
Webidentity Sàrl provides its services in accordance with the conditions set out in these Terms and any individual agreements.
It performs its contractual obligations professionally and with due care.
For software and online services (SaaS), Webidentity Sàrl grants the Client a non-exclusive, non-transferable right of use, limited to the duration of the contract. Data hosted within these services remains the property of the Client.
Webidentity Sàrl implements reasonable technical and organisational measures to ensure the security and availability of its services, without guaranteeing absolute availability.
It may engage third parties for the provision of its services.
3. Client obligations
The Client undertakes to provide Webidentity Sàrl, free of charge, with all information necessary for the proper execution of the services. The Client shall ensure that the operational, organisational and technical conditions in its environment allow Webidentity Sàrl’s staff to perform the agreed services.
The Client is solely responsible for choosing and using the products, and for ensuring they are suitable for the intended purpose.
The Client must take all required security measures to protect stored data in case of loss or destruction.
4. Working hours
Webidentity Sàrl normally provides its services on business days, Monday to Friday, from 8:00 to 12:00 and from 13:00 to 18:00. Services provided outside these hours, during weekends or on public holidays, require prior authorisation and are subject to a surcharge.
Unless otherwise agreed, travel time from our offices to the place of intervention is considered working time and is chargeable.
5. Prices and payment terms
Prices indicated in our offers are based on information available at the time of preparation and apply only to the services specified.
Unless otherwise stated, prices are net in Swiss francs (CHF). Invoices are payable under the terms stated in the offer or contract, without deduction. Unauthorised deductions will be re-invoiced as administrative fees.
In case of late payment, Webidentity Sàrl may charge default interest of 5% per year from the date of the first reminder, plus collection and administrative fees.
6. Liability
Webidentity Sàrl is only liable for direct damage proven to have been caused intentionally or through gross negligence.
It accepts no liability for data loss, costs of data reconstruction, loss of production, loss of profit or any other indirect or consequential damage.
Temporary service interruptions due to maintenance, force majeure or technical incidents beyond its control do not entitle the Client to compensation.
7. Confidentiality and data protection
Both parties agree to maintain the confidentiality of all information, documents and data disclosed in connection with the contract.
Webidentity Sàrl processes personal data in compliance with the Swiss Federal Data Protection Act (nLPD) and, where applicable, the European General Data Protection Regulation (GDPR).

8. Duration and termination
Contracts with a fixed term expire on the agreed date.
Contracts with an indefinite term may be terminated in writing with 30 days’ notice to the end of a month.
In the event of serious breach, either party may terminate the contract with immediate effect after a written notice has remained unheeded.
9. Force majeure
Neither party shall be liable for any failure to perform caused by force majeure events, such as network outages, cyberattacks, natural disasters, epidemics or unforeseeable administrative measures.
The affected party shall promptly inform the other and take reasonable steps to limit the consequences.
10. Amendments
Either party may propose changes to the agreed services at any time in writing. Webidentity Sàrl shall inform the Client within a reasonable period whether the requested change is possible and its implications regarding price, quality and deadlines. If detailed investigation is required, the resulting costs shall be borne by the Client.
Any change becomes binding only when both parties have signed a written amendment.
11. Electronic communication
Electronic communications (email, client portal, digital signature) are deemed valid and equivalent to written communications.
12. Jurisdiction
These General Terms and any individual contracts are governed exclusively by Swiss law.
Any disputes arising directly or indirectly from the contractual relationship shall fall under the jurisdiction of the courts at the registered office of Webidentity Sàrl in Le Bouveret (Switzerland).
