Terms & Conditions<\/h1>\n

These general terms and conditions apply to all our products and services.<\/p>\n<\/div>\n

1. General<\/h2>\n
\n

Webidentity S\u00e0rl offers its Clients a complete range of IT and Internet products and services.<\/p>\n

The services are defined in specific offers, which also serve as a contract between the Client and Webidentity S\u00e0rl.<\/p>\n

These documents specify the nature, scope, duration and remuneration of the services provided.<\/p>\n

By accepting a quotation or contract from Webidentity S\u00e0rl, the Client acknowledges that these General Terms and Conditions form an integral part of the contractual relationship.<\/p>\n<\/div>\n

2. Services<\/h2>\n
\n

Webidentity S\u00e0rl provides its services in accordance with the conditions set out in these Terms and any individual agreements.
It performs its contractual obligations professionally and with due care.<\/p>\n

For software and online services (SaaS), Webidentity S\u00e0rl grants the Client a non-exclusive, non-transferable right of use, limited to the duration of the contract.<\/p>\n

Webidentity S\u00e0rl implements reasonable technical and organisational measures to ensure the security and availability of its services, without guaranteeing absolute availability.<\/p>\n

It may engage third parties for the provision of its services.<\/p>\n<\/div>\n

3. Client obligations<\/h2>\n
\n

The Client agrees to provide Webidentity S\u00e0rl, at no cost, with all information necessary for the proper execution of the services to be delivered. The Client further undertakes to establish and maintain within their environment the operational, organizational, technical, and other conditions required for Webidentity S\u00e0rl\u2019s staff to correctly perform the services defined in the contract.<\/p>\n

The Client is solely responsible for the selection, configuration, assignment, and use of the products, as well as for ensuring that they are suitable for their intended purpose.<\/p>\n

The Client is solely responsible for taking all required security measures to protect stored data in the event of damage or destruction.<\/p>\n<\/div>\n

4. Working hours<\/h2>\n
\n

As a general rule, the services of Webidentity S\u00e0rl are provided on business days, Monday to Friday, from 8:00 a.m. to 12:00 p.m. and from 1:00 p.m. to 6:00 p.m. Services provided outside these hours, as well as during weekends and official public holidays, must be authorised and are subject to an additional charge.<\/p>\n

Unless otherwise agreed, travel time from our offices to the place of intervention is considered working time and is billable accordingly.<\/p>\n<\/div>\n

5. Prices and payment terms<\/h2>\n
\n

The prices stated in our quotations are based on the information available at the time they were issued and cover only the services explicitly mentioned therein.<\/p>\n

Unless otherwise specified, all prices are quoted net in Swiss francs. Invoices issued by Webidentity S\u00e0rl are payable net according to the terms set out in the quotations and\/or contracts, without any deductions. Any unauthorised deductions will be re-invoiced as administrative fees.<\/p>\n

In the event of late payment, Webidentity S\u00e0rl is entitled to charge, as of the date of the first reminder, a default interest rate of 5% per year to cover collection and administrative costs.<\/p>\n<\/div>\n

6. Liability<\/h2>\n
\n

Webidentity S\u00e0rl is only liable for direct damage proven to have been caused intentionally or through gross negligence.<\/p>\n

It accepts no liability for data loss, costs of data reconstruction, loss of production, loss of profit or any other indirect or consequential damage.<\/p>\n

Temporary service interruptions due to maintenance, force majeure or technical incidents beyond its control do not entitle the Client to compensation.<\/p>\n<\/div>\n

7. Confidentiality and data protection<\/h2>\n

Both parties agree to maintain the confidentiality of all information, documents and data disclosed in connection with the contract.<\/p>\n

Webidentity S\u00e0rl processes personal data in compliance with the Swiss Federal Data Protection Act (nLPD) and, where applicable, the European General Data Protection Regulation (GDPR).<\/p>\n

8. Duration and termination<\/h2>\n
\n

Contracts with a fixed term expire on the agreed date.<\/p>\n

Contracts with an indefinite term may be terminated in writing with 30 days\u2019 notice to the end of a month.<\/p>\n

In the event of serious breach, either party may terminate the contract with immediate effect after a written notice has remained unheeded.<\/p>\n<\/div>\n

9. Force majeure<\/h2>\n
\n

Neither party shall be held liable for any failure to perform due to an event of force majeure, such as a network outage, a cyberattack, a natural disaster, an epidemic, or an unforeseeable administrative decision.<\/p>\n

The affected party shall inform the other without delay and take all reasonable measures to limit the consequences.<\/p>\n<\/div>\n

10. Amendments<\/h2>\n
\n

During the term of the individual contract, either party may, at any time, propose changes to the agreed services in writing. In the case of a modification request made by the Client, Webidentity S\u00e0rl must inform the Client, within a reasonable period of time, whether the requested modification is feasible and what implications it would have on the individual contract, particularly with regard to price, quality, and deadlines. If an in-depth investigation is required, the resulting costs and expenses incurred by Webidentity S\u00e0rl shall be borne by the Client.<\/p>\n

A modification to the agreed services shall only be considered binding once both parties have signed a corresponding supplemental agreement.<\/p>\n<\/div>\n

11. Electronic communication<\/h2>\n
\n

Electronic communications (email, client portal, digital signature) are deemed valid and equivalent to written communications.<\/p>\n<\/div>\n

12. Jurisdiction<\/h2>\n
\n

These General Terms and any individual contracts are governed exclusively by Swiss law.<\/p>\n

Any disputes arising directly or indirectly from the contractual relationship shall fall under the jurisdiction of the courts at the registered office of Webidentity S\u00e0rl in Le Bouveret (Switzerland).<\/p>\n<\/div>\n
